This terms constitutes a legally binding agreement between you and DSML Holdings, including its subsidiaries, affiliates, and associated corporate entities across all global jurisdictions (collectively referred to as "DSML", "we", "us", or "our"). These Terms of Use (the "Terms") govern your access to and use of our public-facing digital assets, proprietary portals, and the Secure Virtual Data Room (the "VDR") accessible via dsmlholdings.com (collectively, the "Web").
By accessing, browsing, or otherwise utilizing the Web, you acknowledge that you have read, understood, and expressly agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you are strictly prohibited from accessing the Web or any of its associated materials.
1. Intellectual Property and Confidentiality
All information, materials, and functionalities hosted on the Web—including but not limited to investment memoranda, financial models, pitch decks, portfolio valuations, algorithms, text, graphics, and underlying software (the "Web Content")—are the exclusive proprietary property of DSML or its authorized licensors.
The Web Content is strictly confidential and is provided solely for the purpose of facilitating institutional due diligence and evaluating potential business relationships with DSML. You are expressly prohibited from copying, reproducing, republishing, uploading, transmitting, or distributing the Web Content in any manner without prior written authorization from our legal department.
2. Trademarks
The names, logos, service marks, and operational frameworks displayed on the Web are registered and unregistered trademarks of DSML. You are prohibited from using these trademarks in any public forum, press release, promotional material, or social media platform without explicit prior written consent. Nothing contained on the Web should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any DSML trademark.
3. Permitted Use and Operational Restrictions
DSML grants you a limited, revocable, non-exclusive, and non-transferable license to access the Web and the VDR strictly for internal, non-commercial evaluation purposes. This license is explicitly conditioned upon your absolute compliance with these Terms.
You strictly agree that you shall not:

Attempt to reverse-engineer, decompile, or extract the source code of the Web or the VDR.

Utilize automated data extraction tools, including scrapers, spiders, or web crawlers, to mine data from the Web.

Use the Web Content to develop, train, fine-tune, or ground any machine learning models, artificial intelligence systems, or algorithmic trading platforms.

Circumvent or disable any security features, digital rights management (DRM) protocols, or dynamic watermarking implemented within the VDR.

Transmit any malicious code, viruses, or cyber threats that could compromise the integrity of our digital infrastructure.
DSML reserves the unequivocal right to immediately terminate your access to the Web and the VDR, without prior notice, should we determine that you have violated any provision of this section.
4. Regulatory and Investment Disclaimers
THE WEB AND ALL WEB CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DSML MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, ADEQUACY, TIMELINESS, OR COMPLETENESS OF THE INFORMATION PROVIDED.
No information contained on the Web constitutes, nor should it be construed as, financial, investment, legal, tax, or accounting advice. Furthermore, nothing on the Web shall be interpreted as an offer to sell, or a solicitation of an offer to buy, any securities, fund interests, or financial instruments in any jurisdiction. Any reliance you place upon forward-looking statements, financial projections, or investment theses contained within the Web Content is strictly at your own risk.
5. Limitation of Liability
To the fullest extent permitted by applicable international law, under no circumstances shall DSML, its general partners, limited partners, directors, officers, or affiliates be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising out of or in connection with your use of, or inability to use, the Web. This limitation of liability applies regardless of the legal theory asserted, whether sounding in contract, tort, strict liability, or otherwise, even if DSML has been advised of the possibility of such damages.
6. Indemnification
You agree to unconditionally indemnify, defend, and hold harmless DSML and its respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses—including reasonable legal fees and costs—arising out of or in any way connected with your breach of these Terms, your unauthorized disclosure of confidential VDR materials, or your violation of any applicable cross-border laws or regulations.
7. Governing Law and International Dispute Resolution
These Terms, and any disputes arising out of or relating to your use of the Web, shall be governed by and construed in accordance with the laws of United States and Republic of Korea, without giving effect to any choice or conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be referred to and finally resolved by binding international arbitration. At DSML's sole discretion, such arbitration shall be administered either by the International Chamber of Commerce (ICC) or the Singapore International Arbitration Centre (SIAC) in accordance with their respective Arbitration Rules in force at the time. The seat of the arbitration shall be determined by DSML, and the language of the arbitration shall be English.
8. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid under applicable law, such invalidity shall not render these Terms unenforceable or invalid as a whole. The invalid provision shall be severed, and the remaining provisions shall continue in full force and effect. These Terms, combined with our Privacy Notice and any active Non-Disclosure Agreement (NDA) you have executed with us, constitute the entire agreement between you and DSML regarding your use of the Web.
